1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Student,” “Client,” “you,” or “your”) and Cogniminds 360 (“Cogniminds 360,” “Company,” “we,” “us,” or “our”), governing your access to and use of the website located at cogniminds360.com (the “Site”) and all related training courses, learning products, HR services, and other services we provide (collectively, the “Services”).

By accessing the Site, registering as a student or instructor, enrolling in a course, purchasing a product, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access the Site or use our Services.

If you are acting on behalf of a company or other legal entity — for example, enrolling employees or procuring HR services — you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Cogniminds 360 provides a range of professional IT education, talent, and business services, including:

  • Instructor-Led Live Training: Scheduled cohort-based online sessions covering certification tracks from ISC2, ISACA, CompTIA, AWS, and Cisco, delivered by certified instructors in real time
  • 1-on-1 Online Training: Private, personalized sessions tailored to individual learning goals
  • Self-Paced Online Courses: Recorded and structured courses accessible at the learner’s own pace
  • Customized Training: Tailored training programs designed for corporate teams or specific organizational needs
  • Learning Products: Downloadable toolkits, templates, workbooks, and assessment guides for immediate use
  • Free Security Awareness Sessions: Complimentary public sessions covering cybersecurity hygiene, phishing awareness, and digital safety
  • HR Sourcing and Consulting Services: Talent acquisition, candidate screening, HR consulting, and workforce planning

We reserve the right to add, modify, or discontinue any Service offering at our discretion, with reasonable notice to enrolled or contracted customers where applicable.

3. Eligibility and Account Registration

To use the Services, you must be at least 18 years of age and legally capable of entering into binding contracts. By registering, you agree to:

  • Provide accurate, complete, and current information during registration or course enrollment
  • Maintain the confidentiality of your account credentials
  • Be solely responsible for all activity conducted under your account
  • Notify us promptly at info@cogniminds360.com if you suspect unauthorized access to your account

Accounts are personal and non-transferable. You may not share login credentials with others or allow any third party to access course content through your account.

4. Course Enrollment and Scheduling

4.1 Enrollment. Enrollment in a course is confirmed upon receipt of full payment (or an approved payment arrangement) and issuance of a confirmation by Cogniminds 360. Cohort seats are limited and offered on a first-come, first-served basis.

4.2 Schedule Changes. We reserve the right to reschedule, postpone, or cancel a cohort due to insufficient enrollment, instructor unavailability, or other operational reasons. In such cases, enrolled students will be offered a place in the next available cohort or a full refund of the enrollment fee paid.

4.3 Attendance. For instructor-led live sessions, attendance is strongly recommended to maximize learning outcomes. We do not guarantee rescheduling of missed live sessions for individual students, though recorded replays may be made available at our discretion depending on the course format.

4.4 Corporate and Customized Training. Specific scheduling, delivery, and scope terms for corporate or customized training engagements will be set out in a separate service agreement, which takes precedence over these general Terms in the event of conflict.

5. Fees, Payment, and Refunds

5.1 Fees. Course fees, product prices, and service rates are as published on the Site at the time of enrollment or purchase, or as agreed in a separate proposal or service agreement. All prices are stated in AED unless otherwise specified.

5.2 VAT. Fees are exclusive of UAE Value Added Tax (VAT) where applicable, which will be added to your invoice in accordance with UAE Federal Tax Authority requirements.

5.3 Payment. Full payment is due at the time of enrollment or purchase unless a payment plan has been expressly agreed in writing. We accept payment through the methods listed on the Site.

5.4 Refund Policy.

  • Cancellation by Student: If you cancel your enrollment more than seven (7) days before the course start date, you are entitled to a full refund. Cancellations within seven (7) days of the start date are non-refundable, but your enrollment may be transferred to the next available cohort for the same course, subject to availability.
  • No-Show: If you fail to attend a course without prior written notice, no refund or transfer will be issued.
  • Cancellation by Cogniminds 360: If we cancel a cohort, you will receive a full refund or the option to transfer to an equivalent future cohort.
  • Learning Products: Downloadable products (toolkits, templates, workbooks) are non-refundable once accessed or downloaded, as they are delivered immediately upon purchase.
  • Free Sessions: Free security awareness sessions carry no payment obligation and are therefore not subject to any refund policy.

5.5 Disputes. Any billing disputes must be raised in writing within fifteen (15) days of the invoice or charge date.

6. Certification Disclaimer

Cogniminds 360 provides training and exam preparation support for certifications issued by third-party bodies including ISC2, ISACA, CompTIA, AWS, Cisco, and others. We are an independent training provider and are not affiliated with, endorsed by, or acting as an agent of these certification bodies.

Completion of a Cogniminds 360 training program does not guarantee that you will pass any third-party certification examination. Exam registration, eligibility requirements, fees, and scheduling are the sole responsibility of the student and must be arranged directly with the relevant certification body. We make no warranty or representation regarding exam pass rates or employment outcomes following course completion.

7. HR Services

Where Cogniminds 360 provides HR sourcing, recruitment, screening, or consulting services to a corporate client, the specific scope, fees, timelines, replacement guarantees, and liability terms will be detailed in a separate service agreement. These Terms apply to general access to the Site and HR service inquiry process; the separate agreement governs the delivery and commercial terms of any specific HR engagement.

8. Acceptable Use and Student Conduct

By accessing our Site and Services, you agree not to:

  • Share, redistribute, resell, or sublicense any course content, recordings, materials, or downloadable products to third parties
  • Record live sessions without prior written consent from Cogniminds 360 and the instructor
  • Engage in disruptive, abusive, or inappropriate behavior during live sessions that interferes with other learners’ experience
  • Circumvent access controls or use another person’s credentials to access the Services
  • Use the Site or Services for any unlawful purpose or in violation of applicable UAE laws and regulations
  • Upload or transmit malicious code, spam, or any content that could compromise the Site’s security or other users’ data

We reserve the right to suspend or terminate your access to any course or the Site for violations of this section, without refund.

9. Intellectual Property

All course content, materials, videos, downloadable products, assessments, branding, and website content are the exclusive intellectual property of Cogniminds 360 or its licensed content partners, and are protected by applicable copyright, trademark, and intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable license to access and use course content and purchased products for your own professional development and internal business use only. No other rights are granted. You may not reproduce, modify, distribute, publicly display, or create derivative works from our content without prior written consent.

10. Free Security Awareness Sessions

Our free security awareness sessions are offered as a public service at no charge and are subject to capacity. Registration does not guarantee a place, and we reserve the right to limit attendance, change session formats, or discontinue free sessions at any time. Free session content is provided for general awareness purposes only and does not constitute professional cybersecurity advice.

11. Third-Party Tools and Platforms

Our Services may be delivered through or integrated with third-party platforms, including video conferencing tools, learning management systems, payment processors, and scheduling software. We are not responsible for the performance, availability, or data practices of these third-party platforms, and your use of them is subject to their own terms and privacy policies.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT COURSE CONTENT WILL RESULT IN PASSING ANY CERTIFICATION EXAMINATION OR SECURING EMPLOYMENT.

13. Limitation of Liability

To the maximum extent permitted by applicable UAE law, Cogniminds 360’s total liability arising out of or related to the Services shall not exceed the total fees paid by you for the specific course, product, or service giving rise to the claim in the twelve (12) months preceding the claim.

In no event shall Cogniminds 360 be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of career opportunity, or loss of data, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud or willful misconduct, or any liability that cannot be excluded under UAE law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Cogniminds 360, its instructors, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Services or course content; (c) your violation of any applicable law; or (d) any content or information you submit through the Site.

15. Termination

We may suspend or terminate your access to any course or the Site at any time for breach of these Terms, non-payment, or conduct that disrupts the learning environment or harms other students or instructors. You may request cancellation of your enrollment as described in Section 5.4. Sections 9, 12, 13, 14, and 16 of these Terms will survive any termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Abu Dhabi, without regard to conflict of laws principles.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days of written notice of the dispute, it shall be referred to and finally resolved by arbitration in accordance with the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre, seated in Abu Dhabi, UAE. Either party may seek injunctive or interim relief from the competent courts of Abu Dhabi where necessary to prevent irreparable harm.

17. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised “Last Updated” date. For material changes, we will notify enrolled students via email or through the Site dashboard. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreement or enrollment confirmation applicable to a specific course or engagement, constitute the entire agreement between you and Cogniminds 360 regarding the Services and supersede all prior communications, representations, or agreements, written or oral.
